I. Einführung

In die Reihe der wegweisenden Veröffentlichungen im Gesellschaftsrecht, die vorangingen, zählt er Berle/Means, The Modern Corporation and Private Property (1932), Melvin A. Eisenberg, The Structure of the Corporation (1976), Easterbrook/Fischel, The Economic Structure of Corporate Law (1980) und zuletzt Mark J. Roe, Strong Managers, Weak Owners.
